MOZILLA PUBLIC DESIGN LICENSE AGREEMENT

Important – Read Carefully:  This License Agreement (“License”) is between the Mozilla Foundation (“Mozilla”) and you (“You”), an individual interested in allowing the public to obtain authorized Mozilla merchandise using Your Design.  If You agree to these terms and conditions, click the “AGREE” button to transfer Your Design into a Public Image Pool.  If you do not agree to the terms of this License, do not click AGREE.

For good and valuable consideration, the receipt and sufficiency of which are hereby irrevocably acknowledged, the parties agree as follows: 

1. Definitions.

1.1	“Design” means a design You created and submitted to the Mozilla Community Store located at communitystore.mozilla.org or such other location as Mozilla may determine in its sole discretion.

1.2	“Mozilla's Mark” means Mozilla, mozilla.org, mozilla.com, Firefox, Thunderbird, Bugzilla,Camino, Sunbird, Seamonkey, Foxkeh, XUL, Firefox logo, Thunderbird logo, SeaMonkey logo, Camino logo, Foxkeh logo, Mozilla red lizard logo and other brands or designs that may be adopted by Mozilla.

1.3	“Mozilla Merchandise” means products authorized by Mozilla for creation and sale at the Mozilla Community Store.

1.4	“Public Image Pool” means those Designs which have been transferred to the Mozilla Community Store and are available for viewing and downloading by the Mozilla community for the creation and sale of Mozilla Merchandise.

1.5	“Territory” means the world excluding those countries prohibited by the laws of the United States and/or Your country of residence.

2. License Grant.  You grant to Mozilla a royalty-free, fully sublicensable, non-exclusive license to use the Design in the Territory in connection with all uses or exploitation of the Design.    

3. Consideration.  As consideration for this License, Mozilla agrees to provide a brief attribution of the Design, using Your name as provided in your submission of the Design to the Public Image Pool, either on a website page where the Design is displayed or on a website page that is linked to a website page where the Design is displayed, which choice shall be at Mozilla's sole discretion.  Nothing in this License obligates Mozilla to use or display the Design.

4. Ownership.  You expressly retain the right to use its Design for non-commercial purposes.  You expressly disclaim any, and assert no, trademark rights in the Design, either standing alone or in combination with any other Mozilla Mark.  You expressly acknowledge that Mozilla is the sole and exclusive owner of the Mozilla Marks and even if the Design incorporates a Mozilla Mark or is similar to a Mozilla Mark, You have no rights to use or exploit a Mozilla Mark.  You agree to cooperate with and execute any documents requested by Mozilla to enable Mozilla to enforce intellectual property rights in the Design against third parties.

5. Indemnification.  You agree to defend, indemnify, and hold harmless Mozilla and its officers, directors, employees, agents, affiliates, contractors, contributors, subsidiaries, licensors, and distributors from any and all liability, claims, expenses (including attorneys' fees) or actions of any kind arising out of Mozilla's use of a Design.  This obligation does not apply if the action relates to the incorporation in the Design of a Mozilla Mark.

6. Miscellaneous.  (a) This Agreement constitutes the entire Agreement between Mozilla and You concerning the subject matter hereof, and it may only be modified by a written amendment signed by an authorized executive of Mozilla. (b) Except to the extent applicable law, if any, provides otherwise, this Agreement will be governed by the laws of the state of California, U.S.A., excluding its conflict of law provisions. (c) This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods. (d) If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. (e) Except as required by law, the controlling language of this Agreement is English. (f) This License shall not be construed to create a joint venture or partnership between the parties. Neither party will be deemed to be an employee, agent, partner or legal representative of the other for any purpose and neither shall have any right, power or authority to create or assume any obligation or responsibility on behalf of the other.
